Senior Contracts Manager

Job Description

Job Purpose
To lead a fit-for-purpose Legal section that delivers timely, pragmatic, relevant, and risk-appropriate guidance and solutions that are in the best interest of Panda Retail Company (“PRC”) with due regard to all relevant stakeholders.

 

Functional Accountabilities:
A. Contract Management
• Ensure all contracts with all vendors are legally scrutinized so as to protect PRC from any liabilities.
• Provide necessary operational legal framework such as standard contracts for use within PRC.
• Draft, review and standardize legal documents, while creating, implementing, and maintaining new forms and processes.
• Identify the appropriate agreements for PRC to pursue in alignment with its business plans.
• Negotiate significant agreements which PRC proposes to engage in, bringing to a successful conclusion in terms of contract construction and sign-off.
• Evaluate and report on the success of each agreement negotiated against outcomes and expectations.
• Strategize, renegotiate and conclude contracts with stakeholders as they arise or are scheduled.
• Recommend opportunities or required changes to take advantage of new legal and regulatory developments and likely trends.

B. Litigation Management
• Represent PRC in litigation and other legal proceedings.
• Monitor actions affecting PRC's rights, as appropriate, assert those rights.
• Serve as one of the Company’s key contacts and negotiators with government agencies.
• Examine legal data to determine the advisability of defending or prosecuting a lawsuit.
• Ensure all Material Claims are reported in accordance with the Litigation and Claims Reporting Standards.
• Coordinate defense of the rights and the interests of the Company before courts of law, arbitrage courts, public authorities, private or public legal entities, individuals, and any other third party with whom PRC may interact.
• Adequate representation for all court cases.
• Helping prepare briefs, complaints, motions, and other court documents.

C. Legal Advisory
• Provide high-quality legal advice on all matters that affect or potentially affect PRC. Interpret laws, rulings, and regulations for the Company.
• Provide advice – to the Board of Directors and constituent bodies as per PRC by-laws and Articles of Association – on legal matters pertinent to the Company and on contemplated actions.
• Provide advice to the CEO and other Chief Executive Team members on legal matters pertinent to the Company and the performance of their duties, including contemplated actions.
• Provide advice to other functions, Divisions, and Departments within PRC on the legal consequences of contemplated actions.
• Monitor, identify and interpret changes in the legislation that affect the Company’s activities, and inform PRC’s management about such changes. Take action, as deemed applicable.
• Overlook and manage all strategic projects including mergers & acquisitions, Joint Ventures, divestitures, etc.

D. Law Firm Management
• manage day-to-day PRC’s relationships with external counsel(s).
• Act as primary liaison between PRC and the outsourced law firm and monitor the whole process wing-2-wing.

E. Legal Entity Management
• Ensure that all legal procedures are complied with in terms of the various legal entities.

F. People Management
• Effectively manage to deliver on all responsibilities in PRC.
• Monitor Legal Affairs resources’ performance and feedback.
• Provide a mechanism that encourages the coaching and development of all PRC Legal teams in appropriate areas of compliance and law.
• Develop plans for the enhancement of the section’s skill set.
• Build collaborative and productive working relationships with key stakeholders (internal and external).

Skills

Education
A minimum of a Bachelor's Degree 

A master's degree is preferred 

Experience, Skills & Competencies
• 12+ years of legal experience in legal counsel, credible law firms, or legal consultants.
• 5 – 10 years of related commercial law experience with extensive transactional and commercial agreements experience.
• Experience with legal issues for Retail companies.
• Interaction and negotiation with government agencies, including in an international setting, with some experience with intellectual property and competition law.
Exposure to the handling of compliance matters.
● Aware of KSA laws and Rules, customs & traditions.
● Native Arabic language.
● Advance English Language speaking, writing, reading, and listening.
● Experience advising senior management.
● Demonstrable legal analytical skills, general business acumen, and expertise in several of the core areas of work listed below:
● Contract review and management in the KSA
- Employment law
- Corporate governance
- Enterprise-wide risk mitigation
- Intellectual property, content management, licensing
- Strong project management skills with attention to detail and accuracy
- Strong teamwork and client service skills; experience exercising influence and managing change while having an open and inclusive tone; solution oriented.
- Demonstrated ability to work in a fast-paced, growth-oriented regional organization.
- Comfort with ambiguity and the ability to work through challenging situations.
- Administratively self-sufficient with demonstrated skill in Outlook, Word, Excel, and PowerPoint

● Demonstrate good drafting and negotiation skills both in English and Arabic.
